Part I. General provisions

§ 1 General provisions, scope

  1. These General Terms and Conditions (GTC) apply to all contracts for participation as an exhibitor or sponsor in the German Legal Tech Summit conference and exhibition on 3 December 2026 in Hannover.
  2. These GTC apply exclusively. Deviating, conflicting or supplementary terms and conditions of the contractual partner shall only become part of the contract if and to the extent that their validity has been expressly agreed to in text form.
  3. Our GTC shall also apply if we perform the service for the contractual partner without reservation in the knowledge of conflicting or deviating terms of the contractual partner.
  4. Individual agreements made with the contractual partner in a specific case (including collateral agreements, supplements and amendments) shall in all cases take precedence over these GTC (Section 305b of the German Civil Code (Bürgerliches Gesetzbuch, BGB)). For evidentiary purposes, such agreements should be documented in text form (e.g. by email) within five working days and sent to the other party.
  5. Legally relevant declarations and notices by the contractual partner relating to the contract (e.g. setting of deadlines, notification of defects, withdrawal or price reduction) must be made in text form (e.g. email, letter).
  6. The house rules and terms of use of the company operating the venue in Hannover must also be observed and form part of these GTC.

§ 2 Conclusion of contract

  1. Offers made by German Legal Tech Summit GmbH are subject to change and non-binding unless they are expressly marked as binding.
  2. Unless otherwise stated in the offer, German Legal Tech Summit GmbH is bound by binding offers for a period of 14 calendar days from the date of the offer.
  3. German Legal Tech Summit GmbH is entitled to accept contractual offers from the contractual partner within 14 calendar days of receipt.

§ 3 Terms of payment

  1. All prices quoted by German Legal Tech Summit GmbH are net prices plus the statutory value added tax (VAT) applicable at the time.
  2. German Legal Tech Summit GmbH is entitled to charge up to 100% of the agreed price as an advance payment. Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date.
  3. The contractual partner shall only be entitled to rights of set-off or retention insofar as its claim has been finally determined by a court, is undisputed or arises from the same contractual relationship.
  4. Full settlement of all payment claims of German Legal Tech Summit GmbH is a prerequisite for access to the event site and for the set-up and use of the allocated stand space.

§ 4 Liability

  1. Claims for damages by the contractual partner are excluded unless otherwise provided below.
  2. The exclusion of liability does not apply to claims for damages arising from injury to life, body or health, or to damage based on an intentional or grossly negligent breach of duty by German Legal Tech Summit GmbH, its legal representatives or vicarious agents. Liability in cases of fraudulent intent or under guarantees likewise remains unaffected.
  3. In the event of a breach of material contractual obligations (cardinal obligations), German Legal Tech Summit GmbH shall also be liable for simple negligence. Cardinal obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the contractual partner may regularly rely. In this case, however, liability is limited to compensation for the foreseeable damage typical of the contract.
  4. Recognisable defects or damage must be reported to German Legal Tech Summit GmbH without undue delay, both on site and in text form, so that they can be remedied.
  5. Liability for damage within the meaning of para. 3 is limited to EUR 50,000.

§ 5 Cancellation, shortening, relocation and postponement of the event

  1. In justified exceptional situations and in cases of force majeure, German Legal Tech Summit GmbH is entitled to restrict, cancel, break off, postpone or relocate the event in whole or in part.
  2. A justified exceptional situation exists in particular if:
    1. holding the event becomes impossible or unreasonable as a result of sovereign measures (e.g. official requirements, ordinances or warnings).
    2. there are factual indications of a specific danger to life, limb or property of considerable value, or the undisturbed running of the event cannot be ensured.
  3. Force majeure comprises unforeseeable, unavoidable events beyond the control of German Legal Tech Summit GmbH (e.g. natural disasters, epidemics/pandemics, war, terrorism, serious infrastructure failures, strikes).
  4. German Legal Tech Summit GmbH further reserves the right to cancel the event no later than 4 weeks before it begins if an economically viable event cannot be achieved owing to insufficient registrations.

§ 6 Legal consequences under § 5, refunds and advance costs

  1. If the event is cancelled in full in accordance with § 5, both parties shall be released from their obligations to perform. Payments already made by the contractual partner will be refunded in full without undue delay.
  2. If the event is partially cancelled or shortened, the remuneration shall be reduced proportionately in respect of the part not held.
  3. In the event of a postponement or relocation, the contract shall be deemed to continue for the new date or venue unless the contractual partner objects to the change in text form within 14 calendar days of receipt of the notification. In the event of a justified objection, amounts already paid will be refunded.
  4. Further claims by the contractual partner for damages or reimbursement of expenses as a result of measures under § 5 are excluded – subject to the provisions of § 4.

§ 7 Code of conduct, mutual consideration

  1. The parties undertake to show mutual consideration for each other’s business and non-material interests. The contractual partner undertakes to preserve the ideologically neutral and professional character of the event.
  2. The contractual partner declares its commitment to the free democratic basic order of the Federal Republic of Germany and undertakes to respect and uphold it.
  3. In the event of serious breaches of para. 1, German Legal Tech Summit GmbH is entitled, after a prior warning, to stop the relevant actions of the contractual partner or to exclude the contractual partner from participation.

§ 8 Exclusivity

The contractual partner shall only be entitled to exclusivity rights (e.g. as an industry-exclusive sponsor) if these have been expressly agreed in the main contract in text form.

Part II. Conditions for stand construction, exhibition operations and sponsorship

§ 1 Allocation of stands

  1. Stand space is allocated by German Legal Tech Summit GmbH in accordance with organisational requirements and at its reasonable discretion. There is no entitlement to a particular location.
  2. Requests for a particular location will be taken into account wherever possible. German Legal Tech Summit GmbH reserves the right to make minor subsequent adjustments to allocated stand space for compelling technical or safety reasons.

§ 2 Transfer to third parties, co-exhibitors

  1. Without the prior written consent of German Legal Tech Summit GmbH, the contractual partner is not entitled to transfer the stand space in whole or in part to third parties, to exchange it or to admit sub-exhibitors.
  2. The admission of sub-exhibitors or co-exhibitors requires approval and may be made subject to payment of a handling fee or co-exhibitor fee.

§ 3 Stand staff and participants

The contractual partner is obliged to name its stand staff in advance via the designated registration system. The personalised exhibitor badges are not transferable.

§ 4 Stand design and custom-built stands

  1. The specified stand boundaries and maximum lengths must be strictly observed.
  2. Where the contractual partner uses its own stand systems, a scale drawing must be submitted for approval no later than 6 weeks before the start of the event. The standard maximum construction height is 2.50 metres, unless different heights are approved at the venue.

§ 5 Cancellation / withdrawal by the contractual partner

If the contractual partner cancels its participation for reasons for which German Legal Tech Summit GmbH is not responsible, the claim to remuneration shall remain as follows:

  • Cancellation up to 12 weeks before the start of the event: 50% of the agreed remuneration
  • Cancellation up to 8 weeks before the start of the event: 80% of the agreed remuneration
  • Cancellation less than 8 weeks before the start of the event: 100% of the agreed remuneration

The contractual partner remains entitled to prove that German Legal Tech Summit GmbH has suffered no loss or a significantly lower loss.

§ 6 Advertising and exhibition rules

  1. Advertising by the contractual partner is only permitted within its own stand space, unless the package booked by the contractual partner includes other advertising measures.
  2. Acoustic or visual promotional presentations (e.g. sound systems, show acts) require prior approval. Disturbing other participants with unreasonable noise, odours or light must be avoided.

§ 7 Set-up and dismantling, obligation to staff the stand

  1. The specified times for set-up and dismantling must be observed. Escape routes and aisles must be kept clear at all times.
  2. The stand must be properly staffed with competent personnel throughout the official opening hours of the exhibition.
  3. Dismantling the stand early or partially clearing it before the official end of the event is prohibited.

§ 8 Deposit and contractual penalty

  1. German Legal Tech Summit GmbH is entitled to demand a stand deposit of up to €1,000.00 before the start of the event. The deposit will be refunded after the event, provided that the stand space has been handed back properly and free of damage.
  2. If the contractual partner culpably breaches the prohibition on early dismantling of the stand (§ 7(3)), it shall forfeit an appropriate contractual penalty, the amount of which shall be determined by German Legal Tech Summit GmbH at its reasonable discretion and may be reviewed by the competent court in the event of a dispute (a maximum of 20% of the agreed net stand rental, but at least €500.00).

§ 9 Technical services and exclusion of liability for exhibits

  1. The provision of power connections and basic Wi-Fi depends on the service packages booked. The operation of private Wi-Fi routers or seriously interfering transmitting equipment is prohibited in order to avoid network overload.
  2. German Legal Tech Summit GmbH assumes no duty of safekeeping for exhibits, stand fittings or other valuables brought in by the exhibitor. Taking out separate exhibition insurance is recommended.

§ 10 Insurance

The contractual partner is obliged to arrange adequate insurance cover itself, in particular liability, transport and exhibition insurance.

§ 11 Liability of the contractual partner and house rules

  1. The contractual partner is liable for all damage caused by it, its staff or persons acting on its behalf.
  2. German Legal Tech Summit GmbH exercises the right to enforce house rules (Hausrecht) throughout the event.
  3. Instructions given by the Organiser, the security service and the authorities must be followed.
  4. In the event of serious breaches, the contractual partner or individual persons may be excluded from the event. In this case, there is no entitlement to a refund of fees already paid.

§ 13 Catering

The serving of food and drink requires prior approval and is subject to the requirements of the respective venue.

§ 14 Photography, film and audio recordings

Photographs and film and audio recordings may be made during the event. German Legal Tech Summit GmbH is entitled to use recordings in which stands, company logos or staff of the contractual partner are recognisable for reporting purposes and for promoting future events in print and online media, provided that no overriding legitimate interests conflict with this.

§ 15 Compliance

The contractual partner undertakes to comply with all applicable statutory provisions, in particular competition, antitrust, anti-corruption, data protection and occupational health and safety law.

Part III. Digital and virtual event components

Insofar as the contract includes additional digital services (e.g. online presences, virtual exhibition stands, streaming slots or access to networking platforms), German Legal Tech Summit GmbH shall provide these in line with the current state of the art. The parties agree that 100% uninterrupted availability of digital services cannot be technically guaranteed.

Part IV. Final provisions

§ 1 Data protection

German Legal Tech Summit GmbH processes personal data in accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) for the performance of the contract (Art. 6(1)(b) GDPR). § 2 Severability clause

Should individual provisions of this contract be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The relevant statutory provisions shall apply in place of the invalid provision.

§ 3 Applicable law, place of jurisdiction

  1. The law of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  2. If the contractual partner is a merchant, a legal entity under public law or a special fund under public law, the registered office of German Legal Tech Summit GmbH shall be the exclusive place of jurisdiction for all disputes arising from this contract.
